(a) The management of the business and affairs of the authority
shall be vested in the board of governors, subject to the provisions
of this chapter and to the provisions of bylaws adopted by the board
of governors as authorized by this chapter. (b) The board of governors shall have the power to make the bylaws,
rules, and regulations for the government of the authority and the
operation, management, and maintenance of the project as it may
determine appropriate. (c) A majority of the number of members of the board then in office
shall constitute a quorum for the transaction of business. The vote
of a majority of the members of the board present at the time of the
vote, if a quorum is present at such time, shall be the act of the
board unless the vote of a greater number is required by law or by
the bylaws of the board of governors. (d) If the bylaws of the authority so provide, the board of
governors, by resolution adopted by a majority of the full board of
governors, may designate from among its members an executive
committee and one or more other committees, each consisting of two
or more members of the board and each of which, to the extent
provided in such resolution or the bylaws of the authority, shall
have and may exercise such authority as the board of governors may
delegate to it. Unless otherwise provided in the bylaws of the
authority, any such committee shall act by a majority of its
members. The designation of any such committee and the delegation
thereto of authority shall not operate to relieve the board of
governors or any member thereof of any responsibility imposed by
law. |
