( 53-12-394)
(a) Every foreign corporation acting in a fiduciary capacity in this
state pursuant to the terms of this part shall be deemed to have
appointed the Secretary of State to be its true and lawful attorney
upon whom may be served all legal process in any action or
proceeding against it relating to or growing out of any trust,
estate, or matter in respect of which the foreign corporation has
acted in this state in any fiduciary capacity. Service of process
shall be made by delivering two copies for each defendant of the
summons or other process, with two copies of the petition or
complaint, when service of such copies is required by law,
accompanied by a fee of $10.00, to the Secretary of State or to any
person in his office authorized by him to receive the service. The
Secretary of State shall immediately forward the process, together
with the copy of the petition or complaint, if any, to the foreign
corporation, by registered or certified mail or statutory overnight
delivery, addressed to it at the address on file with the Secretary
of State or, if it is not on file, then at its last known address.
The Secretary of State shall not accept any petition or other
pleading for service under this Code section unless two copies
thereof or one copy with 50¢ per page for photostating the other
copy is filed in his office. (b) The Secretary of State shall keep a permanent record in his
office showing, for all process served, the style of the action or
proceeding, the court in which it was brought, the name and title of
the officer serving the process, the day and hour of service, the
day of mailing by registered or certified mail or statutory
overnight delivery to the foreign corporation, and the address to
which mailed. |
